Nowy wspaniały świat jest już w zasięgu reki, Ukrainie potrzebne są tylko dziesiątki miliardów $. Wcześniej mówiło się radośnie o 50 miliardach $, teraz entuzjazm spadł do poziomu 40 miliardów $. Rok temu wyraźnie podniecony redaktor Jacek Żakowski już chciał dawać Ukrainie 1 miliard $ z naszych podatków. Na szczęście nikt redaktorowi Żakowskiemu nie dał klucza do kasy.
Jak na razie Premiero Kopacz sypnęła z rękawa 100 milionami Euro długoterminowego kredytu na odbudowę Donbasu podczas swojej niedawnej wizyty w Kijowie. Całe szczęście ten kredyt nigdy nie będzie wypłacony, ponieważ wątpimy aby mieszkańcy Donbasu pozwolili aby ci, którzy zbombardowali im domy, postawili tam na nowo stopę.
Co my będziemy mieli z tej ukraińskiej demokracji, jakiej świat jeszcze nie widział? Oj, chyba tylko same długi.

Inny ukraiński oligarcha, gangster Ihor Kolomoyski, ma już śmierdzacą hipotekę w Polsce. Jego bank od 10 lat nie zapłacił rachunku znanej kancelarii prawnej w Warszawie. 200.000 $.
W latach 2004/2005 PrivatBank, którego współwłaścicielem jest Kolomoyski, usiłował wejść na polski rynek. Państwowy bank BGK był gotowy sprzedać PrivatBankowi mały nieaktywny bank BudBank. Rozmowy trwały miesiącami, jednak kiedy Ukraińcy przedstawili plan finansowania tej inwestycji poprzez spółki krzaki, polskim partnerom stanęły włosy na głowie. Please be informed that shareholders of PrivatBank had a meeting with Mr. Dubilet regarding purchasing of BudBank. PrivatBank will worsen its adequacy ratio in case of purchasing BudBank from its own funds and shareholders do not want to increase Share Capital of PrivatBank. That is why in order to safe the project it was made the decision to pay the purchase price for BudBank from account of other company directly or indirectly controlled by PrivatBank’s shareholders.
Following our phone conversation please find below short description of the planning transaction regarding purchasing BudBank:
PrivatBank will execute Trust Agreement (other option is Commission Agreement) with third party non-resident of Ukraine directly or indirectly controlled by PrivatBank’s shareholders. Under this Agreement PrivatBank will purchase shares of BudBank in its own name but at the expense of the third party. So PrivatBank will be the shareholder of the BudBank but the third party will pay the purchase price. The purpose is to have PrivatBank as the shareholder for the purpose of NBP (PrivatBank will also manage BudBank in any case) but the payment should be not from the own funds of PrivatBank. The problem is to explain to NBP that PrivatBank is the real shareholder of BudBank (PrivatBank and third company have the same shareholders and third company is used only for financial purposes) and explain to NBU that the payment was made by third company (not from own funds and Share Capital of PrivatBank) and the purchasing is made for this third company (transaction is out of the Balance Sheet of PrivatBank).
If it will be Commission agreement so PrivatBank will purchase shares in the name and at the expenses of third party. In this case we will need to change all the documents for NBU (for NBU this transaction is clear).
The third company might be UK company with high share capital (more then 7 mln. EUR) with three years audit reports directly or indirectly controlled by PrivatBank’s shareholders.
Please also note that if nonresident company pays funds we will not need any individual license or consents from NBU.
Please give you legal opinion regarding possibility of such sort of transaction under Polish legislation and if yes what risk we will have in this case. Please give us other structures of the transaction (if any).
Mr. Dubilet will have vocation at the mid of next week and ask us to sign and submit all documents to the NBU before his leaving. That is why please reply as soon as possible (not later then today).

Dear Andrey,
We have reviewed the proposed structure internally. Our conclusions are that this sort of structure is unlikely to be acceptable to the National Bank of Poland and creates a substantial risk of permit refusal:
(1) This type of arrangement creates a risk of lack of transparency that may be prejudicial to the effective exercise of regulatory powers by the Polish bank supervision authorities (a basis for refusal of the permit -- art. 25.5 Banking Law). In addition, it is highly uncommon on the Polish banking market.
(2) Under the contemplated transaction structure, the funds applied to the purchase of Bud-Bank would not be PrivatBank's own funds, which is also a basis for refusal of the relevant permit (art. 25.5 Banking Law).
(3) As you are aware the Polish regulator has already announced that it will carefully scrutinize PrivatBank's application. We believe that one of the elements considered as important by the Polish bank supervision authorities is that PrivatBank is a banking entity regulated by NBU with which NBP has good working contacts. A structure where PrivatBank is merely a nominee shareholder destroys this argument.
In addition, please note that such a transaction structure would considerably slow down any proceedings before the NBP. Indeed, the application for a permit to purchase Bud-Bank shares would need to be formally made by the third party entity and its controlling shareholders. Additional documentation would thus need to be gathered, translated and, most likely, legalized by the relevant Polish consulate (since Poland does not have an agreement excluding the requirement of legalization with the UK).
We may of course further explore this option on a no-name basis with the NBP, however, we would advise against such a course of action (at this point an enquiry on a no-name basis by our firm or by Mr. ***** is likely to be linked with PrivatBank anyway).
